License Agreement

BY DOWNLOADING OUR SOFTWARE YOU ARE CONSENTING TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, RETURN TO THE SSP&A HOMEPAGE.

S. S. PAPADOPULOS & ASSOCIATES, INC. SOFTWARE LICENSE AGREEMENT. This document is a legal agreement between you the "end user" and S.S. Papadopulos & Associates, Inc. BY DOWNLOADING AND USING THIS SOFTWARE. YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT.

GRANT OF LICENSE

S. S. PAPADOPULOS & ASSOCIATES, INC. (SSP&A) grants to you the right to install the downloaded SOFTWARE onto a single computer, and the right for you to evaluate that SOFTWARE on that single computer. SSP&A gives you the end user a non-exclusive license to use the Software free of charge if (a) you are a student, faculty member or staff member of an educational institution (K-12, junior college, college or library) or an employee of an organization which meets SSP&A's criteria for a charitable non-profit organization; or (b) your use of the Software is for the purpose of evaluating whether to purchase an ongoing license to the Software. The evaluation period for use by or on behalf of a commercial entity is limited to 90 days; evaluation use by others is not subject to this 90 day limit. Government agencies (other than public libraries) are not considered educational or charitable non-profit organizations for purposes of this Agreement. If you are using the Software free of charge, you are not entitled to hard-copy documentation, support or telephone assistance.

EXPORT CONTROLS. None of the Software or underlying information or technology may be downloaded or otherwise exported or reexported (i) into (or to a national or resident of) Cuba, Iraq, Libya, Yugoslavia, North Korea, Iran, Syria or any other country to which the U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Table of Denial Orders. By downloading or using the, you are agreeing to the foregoing and you are representing and warranting that you are not located in, under the control of, or a national or resident of any such country or on any such list.

COPYRIGHT STATEMENT: The SOFTWARE is owned by SSP&A and is protected by United States copyright laws and international treaty provisions. Therefore. you must treat the SOFTWARE like any other copyrighted material (e.g. a book or musical recording) except that you may (a) make copies of the SOFTWARE solely for backup or archival purpose, and (b) transfer the SOFTWARE from floppy disk to hard disk provided that the SOFTWARE is used as specified herein. You may not copy the written materials accompanying the SOFTWARE.

OTHER RESTRICTIONS: You may not lease rent or sub-license the SOFTWARE. You may not transfer the SOFTWARE or the accompanying written materials except as provided above. You may not create derivative works from the SOFTWARE. If you later receive an Update to this SOFTWARE or if this SOFTWARE is an Update to a prior version. any transfer must include both the update and all accessible prior versions of the SOFTWARE.

DISCLAIMER OF WARRANTY

Downloaded unregistered Software is provided on an "AS IS" basis, without warranty of any kind, including without limitation the warranties of merchantability, fitness for a particular purpose and non-infringement. The entire risk as to the quality and performance of the Software is borne by you. Should the Software prove defective, you and not SSP&A assume the responsibility.

THERE ARE NO OTHER WARRANTIES. SSP&A DISCLAIMS ALL OTHER WARRANTIES. EITHER EXPRESSED OR IMPLIED. INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTY OF MERCHANTABILITY . OF FITNESS FOR A PARTICULAR PURPOSE. AND ARISING FROM USAGE OF TRADE OR CAUSE OF DEALING OR PERFORMANCE. WITH RESPECT TO THE SOFTWARE THE ACCOMPANYING WRITTEN MATERIALS. AND ANY ACCOMPANYING HARDWARE. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS YOU MAY HAVE OTHERS WHICH VARY FROM STATE TO STATE.

EXCEPT AS STATED HEREIN. IN NO EVENT SHALL SSP&A BE LIABLE FOR ANY DAMAGES WHAT SO EVER, WHETHER BASED ON CONTRACT, TORT, WARRANTY OR OTHER LEGAL OR EQUITABLE GROUNDS, INCLUDING, WITHOUT LIMITATION DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS ARISING OUT OF THE USE OR INABILITY TO USE THIS SSP&A PRODUCT, EVEN IF SSP&A HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION MAY NOT APPLY TO YOU.

This Agreement is governed by the laws of the State of Maryland
